Terms of Service

The rules for using Agents AI

1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and One Click Digital System ("Agents AI," "we," "us"), operated from New York, USA. By creating an account or using Agents AI — our website, platform, AI agents, widgets, and related services — you agree to these Terms. If you use Agents AI on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

Agents AI lets you create, train, brand, and deploy AI agents that interact with your visitors, answer questions from content you provide, capture leads, and book appointments. We may add, change, or remove features at any time. We strive for high availability but do not guarantee the service will be uninterrupted or error-free.

3. Your Account

  • You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account.
  • You must be at least 18 years old (or the age of majority in your jurisdiction) to use Agents AI.
  • Workspace owners are responsible for the members they invite and the roles they grant.

4. Your Content

You retain ownership of all content you upload to train your agents — text, links, files, documents, and media ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to operate the service, including powering your agents via retrieval-augmented generation. You are responsible for ensuring you have the rights to any content you upload and that it does not violate any law or third-party rights.

5. Acceptable Use

You agree not to use Agents AI to:

  • Violate any law or regulation, or infringe the rights of others.
  • Deploy agents that deceive, defraud, harass, or harm end users, or that impersonate a person or entity without authorization.
  • Upload malicious code, attempt to breach our security, scrape the platform, or interfere with the service or its users.
  • Generate or distribute unlawful, hateful, or sexually exploitative content.
  • Resell or white-label the service except as expressly permitted by your plan.

We may suspend or terminate accounts that violate these Terms.

6. AI Output Disclaimer

AI-generated responses may be inaccurate, incomplete, or inappropriate despite your training content. You are responsible for reviewing your agents' configuration and for how you and your end users rely on agent output. Agent output is not professional advice (legal, medical, financial, or otherwise).

7. Fees & Billing

Paid plans are billed in advance on a recurring basis until cancelled. Except where required by law, fees are non-refundable. We may change pricing with reasonable advance notice; changes apply at your next billing cycle. Taxes are your responsibility where applicable.

8. Intellectual Property

Agents AI, including its software, design, and branding, is owned by One Click Digital System and protected by intellectual property laws. Except for Your Content, nothing in these Terms grants you any right to our intellectual property beyond the limited right to use the service.

9. Termination

You may stop using Agents AI and close your account at any time. We may suspend or terminate your access for breach of these Terms, unlawful use, or risk to the service or other users. Upon termination, your right to use the service ends; data retention and deletion are handled as described in our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONE CLICK DIGITAL SYSTEM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

12. Indemnification

You agree to indemnify and hold harmless One Click Digital System from claims arising out of Your Content, your use of the service, your agents' interactions with end users, or your violation of these Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict of law principles. Any dispute arising out of these Terms or the service shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We will revise the "Updated" date above and, for material changes, notify you by email or through the platform. Continued use of the service after changes take effect constitutes acceptance.
